Terms of Service

These Terms of Service ("Terms") govern your use of the Cykube website located at cykube.com (the "Site") and any services provided by Cykube Limited ("Cykube", "we", "us", or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

1. Acceptance of Terms

By accessing or using this Site, or by engaging Cykube to provide services, you confirm that you are at least 18 years of age, have the authority to enter into a binding agreement, and accept these Terms in full.

Where services are engaged on behalf of an organisation, the individual accepting these Terms warrants that they have the authority to bind that organisation.

These Terms apply to all visitors, clients, and others who access or use the Site. They should be read alongside our Privacy Policy, which forms part of this agreement.

2. Services Description

Cykube Limited provides technology consulting services to organisations across the public and private sectors. Our service areas include, but are not limited to:

The Site is provided for informational purposes. Specific engagements are governed by separate written agreements or statements of work entered into between Cykube and the client. In the event of a conflict between these Terms and a specific client agreement, the client agreement shall take precedence.

We reserve the right to modify, suspend, or discontinue any part of the Site or our services at any time without prior notice.

3. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, icons, images, data compilations, and software — is the property of Cykube Limited or its content suppliers and is protected by United Kingdom and international intellectual property laws.

You may access and view the content on this Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, transmit, repost, or otherwise use any content from this Site without the express prior written consent of Cykube Limited.

Where Cykube develops deliverables, materials, or software for a client under a separate engagement agreement, intellectual property ownership shall be as set out in that agreement. In the absence of any express agreement, all intellectual property in materials created by Cykube shall remain the property of Cykube Limited, with a licence granted to the client for agreed purposes.

All trade marks, service marks, and trade names appearing on this Site are proprietary to Cykube Limited or their respective owners. Nothing in these Terms grants any right to use any trade mark without prior written permission.

4. Limitation of Liability

To the fullest extent permitted by applicable law, Cykube Limited, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or our services, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.

The content on this Site is provided on an "as is" and "as available" basis. We make no warranties, express or implied, as to the accuracy, completeness, or fitness for purpose of any information on the Site.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

Where Cykube provides professional services under a separate engagement, our total aggregate liability in connection with that engagement shall not exceed the total fees paid by the client to Cykube in the three months preceding the event giving rise to the claim, unless otherwise agreed in writing.

5. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in the course of any engagement or discussions ("Confidential Information"), and to use it solely for the purposes for which it was disclosed.

Confidential Information shall not include information that: (a) is or becomes publicly available through no breach of this obligation; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's information; or (d) is required to be disclosed by law, regulation, or court order, provided the disclosing party is given reasonable prior notice where permitted.

Confidentiality obligations shall survive the termination or expiry of any engagement for a period of three years, unless a separate non-disclosure agreement between the parties specifies otherwise.

6. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter.

Cykube Limited is registered in England and Wales. These Terms are subject to English law and the jurisdiction of the English courts.

7. Changes to These Terms

We reserve the right to amend these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically. Material changes affecting active client engagements will be communicated directly where reasonably practicable.
